Greek company law has greatly changed in recent years and has been significantly modernized. The possibility of one-stop shop set-up for companies has been introduced and Societe Anonyme Law has been completely reformed, another, more flexible form of company has emerged and the Hellenic Business Registry has been fully implemented. Further developments are to follow.
Setting up a Greek company is now quick and easy on an online platform. The prerequisite is that all information and documents can be uploaded.
The Greek Societe Anonyme Law was completely reformed in 2018. EU directives have been implemented, the regulatory framework has become more flexible and certain ambiguities have been clarified.
The electronic commercial register is the effective means for the disclosure of business information in Greece and serves as the National Gazette as provided by Directive 2009/101/EC. Business information subject to registration is published on the website and can be viewed free of charge.
Basic distinction is made between partnerships and corporations.
Partnerships (general partnership, limited partnership, European Economic Interest Grouping etc.) play a role for foreign investors only in exceptional cases, not least due to the fact that their shareholders have unlimited personal liability (with the exception of limited partners in a limited partnership).
Therefore we focus in the following on giving a few key data on the most important corporations under Greek law.
The legal form of the Societe Anonyme is widespread in Greece and even among smaller businesses a very common legal form. This can be explained due to the increased reputation of this legal form in the Greek market, but also due to the fact that SAs have been given preferential on the allocation of grants in the past.
The Greek Law for Societe Anonyme was extensively reformed in 2018 and made much more flexible. The new Law for Societe Anonyme has come into force on January 1st, 2019.
